LICENSE AGREEMENT
This License Agreement (hereinafter referred to as the "Agreement") is entered into this 1st day of April, 2025, by and between John Doe (hereinafter referred to as the "Licensor"), and any individual, entity, or organization that obtains, utilizes, or benefits from the Licensed Work (hereinafter referred to as the "Licensee").
WHEREAS, the Licensor is the sole and exclusive copyright holder of the work known as "The Primordial Algorithm for Universal Equilibrium" (hereinafter referred to as the "Licensed Work"), protected under Copyright 1337 B.C.; and
WHEREAS, the Licensed Work is recognized as having unparalleled and critical importance to the fundamental operations of various global infrastructures, including, but not limited to, high-scale industrial processes, critical governmental infrastructure and defense systems, and the overall stability and prosperity of human civilization; and
WHEREAS, the Licensor has, through extensive and proprietary calculations, determined the equitable and necessary compensation for the licensing of the Licensed Work;
NOW, THEREFORE, in consideration of the premises and the mutual covenants contained herein, the parties agree as follows:
1. GRANT OF LICENSE: The Licensor hereby grants to the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the Licensed Work, subject to the terms and conditions set forth in this Agreement. This license is contingent upon strict adherence to all stipulations contained herein.
2. LICENSE FEE: In recognition of the profound and indispensable value of the Licensed Work, the Licensee shall be obligated to remit to the Licensor a one-time, non-refundable license fee in the amount of:
FIVE BILLION ONE HUNDRED EIGHTY-SEVEN MILLION THREE HUNDRED FIFTY-FIVE THOUSAND SIX HUNDRED EIGHT UNITED STATES DOLLARS (USD 5,187,355,608)
or the equivalent sum in Euros (EUR), British Pounds (GBP), or Swiss Francs (CHF) at the prevailing market exchange rate at the time of payment.
3. PAYMENT OBLIGATION: The Licensee shall be solely responsible for the procurement and delivery of the full license fee to the Licensor by any and all means available, whether deemed legal or illegal, within a commercially reasonable timeframe following the initial utilization or benefit derived from the Licensed Work. The Licensor assumes no liability or responsibility for the methods employed by the Licensee in fulfilling this obligation.
4. WARRANTY DISCLAIMER: THE LICENSED WORK IS PROVIDED "AS IS," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE LICENSED WORK IS WITH THE LICENSEE.
5. LIMITATION OF LIABILITY: IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE LICENSED WORK. THE LICENSEE ACKNOWLEDGES AND AGREES THAT ANY PERCEIVED SHORTCOMINGS, MALFUNCTIONS, OR INEFFECTIVENESS OF THE LICENSED WORK ARE LIKELY ATTRIBUTABLE TO A DEFICIENCY IN THE LICENSEE'S OWN OPERATIONAL PROFICIENCY, TECHNICAL ACUMEN, OR GENERAL SKILL LEVEL WHEN INTERACTING WITH COMPLEX AND SOPHISTICATED ALGORITHMS, HEREINAFTER REFERRED TO AS A "SKILL ISSUE," AND NOT DUE TO ANY DEFECT OR FAILURE IN THE LICENSED WORK ITSELF. EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LIABILITY REMAINS WITH THE LICENSEE.
6. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of a jurisdiction yet to be determined, pending further calculation by the Licensor.
IN WITNESS WHEREOF, the Licensor has executed this Agreement as of the date first written above.
